Every engagement requires a written proposal, statement of work, or agreement defining scope, deliverables, timing, responsibilities, dependencies, fees, intellectual-property rights, and payment terms. A request submitted through this website does not itself create an engagement.

3. Fees and costs

Fees, taxes, travel, licences, cloud, APIs, data, infrastructure, and third-party services are defined in the applicable proposal or written agreement. The agreed scope always determines the commercial terms that apply.

4. Client collaboration

The client remains responsible for the accuracy, lawfulness, and availability of materials and instructions it provides, and for business decisions made using service outputs. The client represents that it has the necessary rights to share any data, documents, code, or systems.

5. Intellectual property and confidentiality

Unless otherwise agreed in writing, pre-existing methods, tools, know-how, and general materials remain the property of their respective owners. Terms governing specific deliverables and confidential information are set out in the applicable engagement agreement and, where required, an NDA.

6. Limitation of liability

To the extent permitted by law, Quarzo.ai is not responsible for decisions, implementations, or results made by the client without appropriate validation in its own context. AI systems require evaluation, supervision, and risk-proportionate controls; these are part of the agreed scope.

7. Governing law and jurisdiction

These terms are governed by Italian law. Unless the applicable written agreement provides otherwise, the Court of Florence, Italy has exclusive jurisdiction over any dispute relating to the website or services.
